## 1. Introduction
- Klarna balance ("Klarna balance") account is a gift card account that allows you to receive cashback or add funds in the Klarna app as described in Section 4 for us within the Klarna app or Klarna website. Funds maintained within the Klarna balance may be used for the purchase or goods or services you purchase through the Klarna app or Klarna website, or may be applied to outstanding balances on Klarna products or products issued by a partner bank of Klarna as further outlined in Section 5.

You agree that the laws of the State of Ohio, without regard to principles of conflict of laws, will govern this Agreement and any claim or dispute that has arisen or may arise between you and Klarna, except as otherwise stated in this Agreement.

Subject to and except as otherwise provided in the Arbitration Provision, if any term of this Agreement is finally determined to be void or unenforceable by a court or government agency of competent jurisdiction, that term will be enforceable to the extent allowed by such court of agency, and the remainder will no longer be a part of this Agreement. All other provisions of this Agreement will remain in effect.

## 3. How the Cashback Program works
### 3.1 Cashback Deals
As part of the Cashback Program, Eligible Customers have the opportunity to earn cashback on Cashback Deals. “Cashback Deals” are promotional offers where Eligible Customers have the chance to earn either a percentage of their total purchase amount, excluding taxes, delivery costs and any other costs, or a fixed sum (subject to some exclusions) at Participating Stores in the form of cashback, at different rates and during a limited period of time. Each Cashback Deal is subject to its own terms, which are set out along with the Cashback Deal in the Klarna app or any other Klarna web-based services, to which the program may potentially be expanded. “Participating Stores” refer to stores that are running a Cashback Deal (such as stores, store networks and online sales platforms). In the event of a conflict between the terms of any Cashback Deal and these Cashback Terms, (i) the terms of the Cashback Deal shall be given precedence in relationship to any individual purchase, and with respect to the rights and obligations of the parties under the Cashback Program, these Cashback Terms shall be given precedence.
The list of Cashback Deals and their details are available in the Klarna app, and may be made available on other Klarna web-based services. This list will be updated regularly when new partnerships with Participating Stores are established. Klarna or a Participating Store may discontinue a Cashback Deal immediately without notice.
### 3.2 Earning cashback
Cashback will only be provided on the purchase of products and/or services (excluding taxes, delivery costs and any other costs) from Participating Stores which fulfill the terms and conditions set out in the Cashback Deal details (such as the transaction taking place within the validity period), where no grounds for exclusion are applicable, making them eligible for a cashback payment. These purchases need to be completed while logged in the Klarna app into a market that matches the currency of your billing address’s market 'Qualifying Purchase'). These Qualifying Purchases must receive approval from the Participating Store. Approval for cashback is not guaranteed. The Participating Store reserves the right to reject cashback for various reasons, including, but not limited to, affiliate credit for the purchase being attributed to a third party other than Klarna.
Furthermore, cashback can only be accrued on purchases completed in the Klarna app or other Klarna web-based services where the Program is made available by us. Klarna may receive a commission or other compensation from Participating Stores for Qualifying Purchases related to the Cashback Program.
Cashback will be rounded down to the nearest cent. No cashback will be granted for any part of the purchase price which does not amount to a full cent and any remaining balance will not be carried forward to subsequent transactions.
When you make a purchase through Cashback Deals, you acknowledge and accept that we collaborate with partners, such as affiliate networks, to track your purchases on the websites of Participating Stores. These partners will obtain limited transaction and device information while providing their services to us. Our collaboration with these partners is essential for us to deliver you cashback as per these Terms.
In order for your purchase to be eligible for cashback, you must ensure that you have accepted cookies from Participating Stores and that no third-party services that could potentially block this process are active on your browser or operating system. This includes, but is not limited to, ad-blockers, anti-tracking software, or competing cashback or promotional toolbars or browser extensions.
- A purchase eligible for cashback generally requires up to five (5) days from the date or purchase to be acknowledged by the store and appear in the cashback transaction history list. After it's recorded and the final cashback amount to be granted is confirmed, this sum will be transferred into your Klarna balance, adhering to the timeline mentioned in the Cashback Deal. It may take several weeks to several months for cashback to be paid out to your Klarna balance account after your purchase, depending on the Participating Merchant and other factors. Please note the final cashback amount may be subject to adjustments in instances of order cancellation or partial returns.

Additionally, in the event that an error results in an overpayment of cashback, we maintain our right to adjust your balance accordingly.

Cashback can neither be earned on taxes, delivery charges or any other costs, nor on payments covering interest, late fees, or payment snoozing charges.
The Cashback Deal may not be combined with other promotional incentives from third parties, such as, for instance, other cashback services, discount codes, or coupons. These exclusions are determined by the Participating Stores.
If a Participating Store does not register a purchase due to the application of an exclusion (for example, if the product or product category is not eligible for cashback) or non-compliance with the terms and conditions laid out in the Cashback Deal details, such transactions will not qualify for cashback.
Additionally, there may be instances where some transactions may not result in cashback due to circumstances beyond our control. Such scenarios could be due to tracking issues arising from affiliate parameters, which are set by the Participating Stores.
## 4. Crediting cashback
- To receive cashback, Eligible Customers must have an active Klarna balance. Confirmed cashback will be automatically deposited into your Klarna balance. Customers are granted a timeframe of up to 180 days from the date the cashback becomes ready to be claimed to open a Klarna balance account. Beyond this period, the right to claim the cashback will be forfeited.

- Any cashback received in your Klarna balance will be subject to the Terms and Conditions agreed upon with Klarna for that account.

## 5. Participating Stores policies
Any products or services purchased from any Participating Stores, whether through the Klarna app or otherwise, are governed by and subject to the applicable Participating Stores’ terms and conditions, including but not limited to the applicable return, cancellation, exchange, and shipping policies.
You agree that we are not agents of any Participating Store and that the Participating Store operates independently and not under our control. Accordingly, Your purchase on Cashback Deals, or correspondence with any Participating Stores is solely between You and that store. We do not assume any liability, obligation or responsibility for any part of such correspondence, offer or promotion, including, without limitation, the withdrawal or modification of any such Cashback Deal. Klarna is not responsible for changes to, or discontinuance of, any Participating Stores from any of Klarna’s platforms or the termination of any Cashback Deal offered by any Participating Stores on any of Klarna’s platforms. Klarna assumes no responsibility and shall not be liable for any content, product and/or services on the Participating Stores’ platforms (including but not limited to the quality and merchantability).
## 6. Program Changes and Termination
These Terms apply to every purchase You make under Cashback Deals. You maintain the freedom to cease Your participation in the program at any time simply by discontinuing these purchases. No additional actions or procedures are necessary to terminate use of the service.
Subject to applicable law, we reserve the right to modify, restrict, suspend, or otherwise change any aspect of the Program, and/or these Terms from time-to-time, including without limitation, the eligibility conditions for participation in the Program, the manner in which customers participate, the manner and rates at which cashback are earned and redeemed, redemption mechanisms, or what allows cashback to be earned.
The Program may be suspended or terminated by Klarna for any reason without notice, unless otherwise required by law. When reasonable under the circumstances and in Klarna's sole discretion, Klarna may elect to give you thirty (30) days prior written noticie if it suspends or terminates the program, during which time you will have the opportunity to claim any cashback that is pending.
## 7. Miscellaneous
There are no participation fees for participating in the Program.
If you breach these Terms and we choose to ignore your breach, or if we delay in taking steps against you, we will still be entitled to use our rights and remedies at a later date or in any other situation where you breach the Terms again.
Klarna is not responsible for any tax implications that may arise from you earning cashback and it is your responsibility to determine whether your cashback earnings are subject to income tax. You should seek independent financial advice if you want to assess the potential tax implications of earning cashback.
In these Terms, unless the contrary intention appears:
- the singular includes the plural and vice versa; and
- a reference to 'include' or 'including' means 'including but not limited to'.
If a court finds part of these Terms illegal, the rest will continue in force. Each of the sections of these terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining sections will remain in full force and effect.
We may transfer the benefit of the agreement with you under these Terms to any other company in the same group of companies. This will not affect your rights. You may not transfer your cashback or your rights to any third parties under these Terms without our agreement in writing.
